PhD in electrical engineering...please advise!!?

I graduated from France with a Masters in electrical engineering (systems control and automation) I had a French GPA of 11.62 that I translated to American system GPA=3. I was unemployed since february 2009 and the fact that I had a French degree seems to make things hard for me to get hired because American companies are not familiar with French system!! I am considering going back to school and wondering if anyone in my boat started that process! I have no idea what I need maybe TOEFL, GRE...how can I start my application? Should I contact teachers directly or apply for programs! Do I have a chance to et accepted with a GPA of 3? If not what should I do, redo a masters and get better grades! I am really so condensed and will appreciate it if someone can give me advice! Any French PhD students out there in the field or anyone in the same boat! Your answer is highly appreciated! Well sometimes I feel old for a PhD program (I am 30 years old)!!! What should I do for reference letter? Should I bring them from my previous work managers or contact my teachers during my Masters? I will appreciate all details! Thank you!
